Analyst Q&A 5
pricing, cost inflation, and buybacks
Q (Nathan Jones · Stifel): He asked how inflation, freight and FX affected gross margin and what the company is doing to recover those costs and the expected timing. He also asked how active the company will be with the $340 million share repurchase in Q4 and over what time frame.
A: Management said about one-third of the year-over-year margin drop is from material inflation and freight, and freight costs accelerated in Q3 and take longer to recover. They said teams are negotiating with customers and improving operations to offset costs. On buybacks, they said they did $60 million already, $340 million remains, and an RMT limit leaves 8 million shares available, so they expect at least the same level in Q4 with potential to do more.
"I think what we saw accelerate in Q3 is really on the freight side, which is typically a more difficult conversation with the customer." — Jonathan Douyard (CFO)
Modine Q4 margin and 2027 outlook
Q (Rajat Gupta · JPMorgan): He asked why Modine's Q4 EBITDA margin looked lower than at acquisition and whether that was seasonality or cost pressure that can recover. He also asked for preliminary 2027 puts and takes for legacy Gentherm and Modine, and margin drivers.
A: Management said they have owned Modine only about three weeks and the company may be conservative in the quarter. They said Modine is experiencing cost pressures but has contract escalators that mechanically recover costs with a timing lag, and overall they expect Modine to operate at a higher level going forward. For 2027, they reiterated legacy Gentherm revenue guidance of $1.7 billion and expect footprint actions and productivity to help margins in 2027.
"But overall, we think the business will operate at a higher level than that going forward." — Jonathan Douyard (CFO)
SG&A increase and home/office progress
Q (Justin Ages · CJS): He asked what drove the significant year-over-year SG&A increase. He also asked how large the home and office business is today versus the $100 million 2028 target.
A: Management said SG&A was higher from transaction-related costs, the IME acquisition which added depreciation from new systems, and increased personnel costs in the quarter. For home and office, they said they have very strong visibility to $30 million in annualized revenue by 2028 and that the pipeline supports the $100 million target; they also signed a commercial model with a component distributor to reach smaller customers.
"There has been an increase in personnel costs as well in the quarter." — Jonathan Douyard (CFO)
power generation pipeline and regional demand
Q (Ryan Sigdahl · Craig-Hallum Capital Group): He asked what Modine sees in the pipeline for power generation, especially data centers and other industries. He also asked about end-market shifts and regional demand, given lower light vehicle expectations.
A: Management said much of the power generation work supports diesel after-meter power going into data centers, and Modine has built a backlog over months and put capacity in place to execute. They said Modine products can apply broadly beyond traditional markets, including energy storage, heat exchanger plates, medical and industrial HVAC. They also said demand for their automotive products remains strong across all regions, with China strong and domestic sales outpacing global sales in Q3.
"A lot of that is going into the data center." — Jonathan Douyard (CFO)
revenue synergies timing and footprint consolidation
Q (Nathan Jones · Stifel): He asked when revenue synergies from the merger will start to drive growth, noting India starts 4Q '27. He also asked whether the footprint consolidation due by end of 2026 is on schedule and what the 2027 savings will be.
A: Management said revenue synergies will be hockey-stick shaped: green shoots in 2028, appreciable revenue flow starting in 2029, and the bulk hitting in 2030, and the India win supports the approach. On consolidation, they said North America is largely consolidated in Mexico with cleanup in Q4, the Czech Republic closure is on track this quarter, and they expect to be relatively clean by January; they did not give a specific 2027 savings number but said these actions are a key driver to return legacy Gentherm margins toward 15% and should cause a step change in 2027.
"I think appreciably, we'll start seeing some revenue flow through in '29." — William Presley (CEO)
