Listing, legal, revenue, IT platform, SG&A
Q (Guy Regal · Schneider): He asked why the company did not stay on NASDAQ, the status of Robert Brown, whether lower revenue guidance was due to remodel or merchandising, details of the ReposiTrak IT agreement and $151,500/month, and whether annual SG&A will be about $20 million.
A: Management said they moved the company to the OTCQB because, given the company's size and limited grounds to appeal, it was the next best market. They would not comment on ongoing legal matters but said they do not believe the matter is material to operations. They said the revenue shortfall is purely a decline in the remodel business, that ReposiTrak is a retail tech partner helping replatform their technology, and that SG&A is "trending towards" the $21 million to $24 million guidance's lower end and toward about $20 million into 2027.
"So yes, the answer is it's purely remodel decline." — Steven Hennen (CFO)
