Analyst Q&A 5
Partners versus direct sales revenue split
Q (Rohit Kulkarni · ROTH Capital Partners): How will recent partnerships contribute to revenue and how will revenue split between partner-led deals and direct sales? Also asked about gross margin and capital needs, and more color on the Google deal monetization.
A: Management said partners bring trusted introductions into blue-chip accounts and that partner-led deals are driving strong momentum and are consuming the direct sales team. Gross margin for the first half was 48.9% due to the loyalty acquisition and professional services; the core business margin is more than 90% and margins should improve in the second half and into next year. They said they do not need capital for day-to-day operations, have close to $100 million cash as of June 30, and view capital needs as tied to growth or acquisitions; Google selection was the start of a potentially very meaningful relationship after a competitive process of 24 companies.
"So our gross margin for the first half is 48.9%." — Arthur Yao
Google data pricing and partner impact on margins
Q (Brian Kinstlinger · Alliance Global Partners): What is the pricing model for the Google data (subscription, licensing, minimums) and will margins be above your 90% core margin? Also asked how Tech Mahindra and TCS are impacting customer acquisition and geography.
A: Management declined to disclose pricing now, saying there are developments and follow-on news that will provide detail in the coming weeks, but called the opportunity "very lucrative" for Rezolve. On partners, they said selling through Tech Mahindra and TCS often improves Rezolve's gross margin because those partners handle professional services while Rezolve supplies the technology, making deployments faster and easier and helping win accounts.
"So in many respects, the gross margin for us is much better when we sell through these guys because they do the professional services and we just provide the tech." — Daniel Wagner (CEO·CHAIR)
Google deal and competitive landscape
Q (Thomas Forte · Maxim Group): How does the Google AI infrastructure deal complement your Agentic commerce efforts? Also asked about the competitive environment for Agentic commerce.
A: Management said Rezolve built a unique database architecture and payment rails in the blockchain to handle the large volume growth the Agentic world will produce, and Google has licensed that infrastructure which validates their foresight. They also said they are not aware of other companies with equivalent infrastructure and products, and that much of the market discussion is "hand waving" while Rezolve has deployable products.
"And that's now been licensed by Google to support their ambitions in this market." — Daniel Wagner (CEO·CHAIR)
Guidance, customer growth, services headcount
Q (Mike Latimore · Northland): Does second-half guidance include acquisitions? How much growth is from existing customers versus new logos? Is the distributed data platform meaningful to the second half guide? And how big is the professional services team and how long to prepare customer data?
A: Arthur said the second-half guidance does not include any acquisitions and is purely organic. Management said growth is both from existing customers expanding (doubling, tripling, quadrupling commitments) and from new larger accounts brought by partners; the infrastructure product is core to their Agentic commerce and not a separate segment. They said the professional services group is about 700 people, mainly in India, and uses an AI product called Enrich to improve product catalogs; the time to deploy depends on customer size and catalog complexity.
"No. So it does not include any acquisitions." — Arthur Yao
Other license deals and deployment timing
Q (Mason Marion · Cantor Fitzgerald): Are there other similar opportunities to license this technology to hyperscalers or others? And will implementation with Google be a heavy lift or turn on quickly?
A: Management said there are many other opportunities in various stages of discussion and they expect to announce some in the second half. They said the announced implementation is already being deployed, and they hope to announce licensing of their payment rails in the coming months.
"We have a number that are in various stages of discussion, and we expect to be announcing those in the second half." — Daniel Wagner (CEO·CHAIR)
