"MPT and Priory have reached an agreement to reduce the annual rental obligations by approximately 18% with the ability for rents to increase as patient volumes recover."
Analyst Q&A 3
HSA rent timing and backup plan
Q (Michael Mueller · JPMorgan): When will HSA resume paying rent and at what level versus before? And what would trigger a more drastic Plan B like new operators?
A: Management said hospital operations are strong: overall volume is up 14% since September and surgeries are up 33%, and new HMO deals and residency programs should increase patient volumes and CMS reimbursement. Ovation has been reviewing for about a month and since August cash collections at HSA have increased 24%, but exactly when rent will resume is not known because the issue has been billing and collections; they have confidence Ovation can fix that. They said they would consider a more drastic Plan B only if HSA's operations were declining or continuing to decline.
"We have a lot of confidence in Ovation's ability to come in and fix that." — Edward Aldag (CEO·CHAIR)
Use of asset-sale cash and HSA loan size
Q (Andrew Reale · BofA): How much room do asset-sale proceeds create under the secured debt limit and will proceeds be used for 2027 maturities? Also, what is the loan balance to HSA today?
A: They said the step 2 financings they described are expected to address the remaining 2027 maturities. Cash from asset sales is available to address longer-dated maturities beyond the '27s and they have optionality on how to apply it but no specific decision yet. The loan to HSA is $150 million.
"We expect the step 2 financings that I just described will address the remaining 2027." — R. Hamner (CFO)
Priory lease terms, NOR/HSA cost rises, capital plans
Q (Michael Carroll · RBC): What did MPT get in return for the Priory rent cut and lease extension details? What drove the NOR and HSA budget increases? And how will MPT raise more capital and think about the dividend?
A: They said Priory remains a strong operator but the issue is NHS budget limits; the restructuring greatly enhanced MPT's financial credit with Priory's parent, they can extend the lease to 2055 at MPT's discretion, and they can recover foregone rent as revenue recovers starting at GBP 11 million. For NOR the bulk of the increase is for a new ED at the largest hospital (a project started under Prospect and now back at full speed) and some seismic work; HSA increases are mainly elevators, boilers, chillers, roofs and a parking garage replacement at Hialeah. On capital, they said they have flexibility, nothing meaningful pending in asset sales (may be one-offs), have monetized upwards of $9 billion previously, and are continuing balance-sheet restructuring, maturity extensions and modest debt reduction to buy time before any drastic alternatives.
"Our ability now is to extend the lease to 2055." — R. Hamner (CFO)
