Analyst Q&A 5
Exchanges launch timing and network nodes
Q (Barry Sine · Litchfield Hills): He asked where software development stands for the exchanges, whether mid-September depends on the CLARITY Act or a workaround, and what remains to get them live. He also asked whether Available's nodes are finished and what the network still needs to support the exchanges.
A: They said the platforms are up and ready and the only remaining software integration is with Fiserv, targeted for completion in mid-September. They said the system does not depend on the CLARITY Act, though that law would let them expand asset types. They also said Available's network already has operational nodes (Philly, New York, D.C., Atlanta testing) with more sites under construction to add capacity.
"So the entire system really is not dependent on the CLARITY Act whatsoever." — Nathaniel Bradley (CEO)
How to view the DataVault demo
Q (Money Channel NYC): He asked how investors can see a demonstration of the DataVault and where to find it, and encouraged people to view the demo to understand the product. He also asked whether the system has been tested and is ready.
A: They said a demonstration is available on the company website and is prominent on the homepage. They said there are 2 demos posted today, one for DataVault and one for the Acoustic division, and qualified parties can book deeper demos. They also said they have been building and testing for years and waited for regulatory clarity before launching.
"If you go to dvlt.ai, you can access it directly from our home page." — Nathaniel Bradley (CEO)
Funding sources and revenue timing
Q (Craft Capital): He asked where the $94.5 million to buy the announced company comes from and which funding sources will pay for it. He also asked whether the bulk of revenue will hit in Q3 or Q4 to reach the $200 million guidance, and if 2027 targets still stand.
A: They said funding sources include the Qestrel coin program, which they said minted $1 billion of access to Available Networks and yields a 50-50 revenue split, plus arrangements like $150 million from Scilex, a receivable of about $190 million in licensing, Helmex, and other deals tied to strategic metals. Management reaffirmed $200 million guidance and said exchanges going live mid-September implies a bump in Q3 but a very significant bump in Q4. They added they are being careful about revenue recognition because tokenomics is new to auditors and regulators.
"So $1 billion in coins would generate $500 million in revenue for DataVault." — Nathaniel Bradley (CEO)
Delisting risk and Available exclusivity
Q: He asked about the earlier delisting threat if the stock stays below $1 and whether DataVault is the only tenant using Available Networks or if others have the same arrangement. He also said he holds a large personal position.
A: They said DataVault is an exclusive partner of Available and that Available sells their product through DataVault tokens, which are split 50-50. On the delisting concern, they said they will not do a reverse stock split now and that they have an automatic shareholder equity exemption to stay listed on NASDAQ through February without a reverse split. They said they prefer to post results and revenues to show value rather than reverse split.
"We have an extremely special position with them in terms of managing the tip of the spear, the way that they sell their product is through our tokens, and those tokens are sold at a 50-50 split." — Nathaniel Bradley (CEO)
Helmex funding and go-live timing
Q (JPMorgan): He asked for an update on Helmex and the funding and timing to go live.
A: They said they have partially funded the $25 million owed in the first tranche and are discussing when they will fund the remaining $20 million and go live. They noted July and August holidays in Europe and recent deal activity slowed progress, and they expect to work on the remaining funding later this quarter. Management also said Helmex brings business opportunity and pipeline.
"So we have partially funded the $25 million that we owe in the first tranche." — Brett Moyer (CFO)
